1. Acceptance of These Terms
By accessing or using the VeriMedix.com website or engaging VeriMedix LLC’s services (medical billing, revenue cycle management, credentialing, and related services, collectively “Services”), you (“Client,” “you,” or “your practice”) agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree, you must not use the website or engage our Services.
2. About VeriMedix LLC
VeriMedix LLC is a medical billing and revenue cycle management company serving healthcare providers, including physicians, nurse practitioners, clinics, hospitals, and facilities throughout the U.S.
Note: VeriMedix LLC also operates PetESALetter.com, providing clinical and psychological assessment services. These Terms apply only to VeriMedix.com and medical billing/RCM services. For clinical assessment services, see Terms at PetESALetter.com.
3. Services Provided
VeriMedix LLC provides the following services to healthcare providers and practices:
Medical billing and claims submission
Revenue cycle management (RCM)
Provider enrollment and credentialing (commercial, Medicare, Medicaid)
Accounts receivable (A/R) follow-up and collections
Denial management and appeals
Practice management support
Compliance and regulatory guidance
Reporting and analytics
Note: Specific services for your practice will be outlined in a separate Service Agreement or Statement of Work.
4. Eligibility
Services are available only to:
Licensed healthcare providers (physicians, nurse practitioners, physician assistants, therapists, etc.)
Healthcare practices, clinics, hospitals, and facilities
Organizations authorized to provide healthcare services in the U.S.
You represent and warrant that you are duly licensed and authorized to practice in your jurisdiction(s).
5. Service Agreement
These Terms govern general website use.
Engagement of medical billing/RCM services is governed by a separate Service Agreement specifying:
Scope of services
Fees and payment terms
Performance metrics and expectations
Term and termination provisions
Confidentiality and data security obligations
Compliance requirements
Conflict: In case of conflict, the Service Agreement controls.
6. Client Responsibilities
As a client, you agree to:
Provide timely, accurate, and complete patient demographic, insurance, clinical, and billing information
Maintain all required licenses, certifications, and credentials in good standing
Comply with federal/state laws, HIPAA, Medicare/Medicaid rules, and billing compliance requirements
Provide access to practice management systems, EHRs, or other necessary systems
Respond promptly to requests for information or clarification
Review and approve billing and coding decisions as required by law and standards
Important: You remain solely responsible for clinical care and ensuring medical necessity of billed services.
7. HIPAA and Data Security
7.1 Business Associate Relationship
VeriMedix LLC acts as a Business Associate under HIPAA when handling PHI on your behalf. A separate BAA will be executed as required.
7.2 Data Security
We implement administrative, physical, and technical safeguards to protect PHI in compliance with HIPAA Security Rule and industry best practices.
7.3 Breach Notification
In the event of a data breach or unauthorized PHI disclosure, we will notify you per HIPAA Breach Notification Rule and BAA terms.
8. Fees and Payment Terms
8.1 Service Fees
Fees will be specified in your Service Agreement and may include:
Percentage of collections
Per-claim or per-encounter fees
Monthly flat fees
Hourly or project-based fees
Combination of the above
8.2 Payment Terms
Payment terms, invoicing schedules, and late penalties are outlined in the Service Agreement. You agree to pay all fees as agreed.
8.3 Third-Party Payments
Payments collected from payers (insurance, Medicare, Medicaid, patients) on your behalf will be remitted to you per Service Agreement, minus applicable fees.
9. Term and Termination
9.1 Term
Engagement term is specified in the Service Agreement.
9.2 Termination
Either party may terminate per the termination provisions in the agreement (typically 30, 60, or 90 days’ written notice).
9.3 Effect of Termination
Upon termination:
You remain responsible for fees accrued through the termination date
We will return or securely destroy PHI and confidential information per BAA and law
We will cooperate in transitioning services to you or a new vendor, subject to payment of outstanding fees
10. Compliance and Regulatory Matters
10.1 Billing Compliance
You remain responsible for accuracy, appropriateness, and medical necessity of all services billed. VeriMedix LLC provides support per industry standards but does not give legal/clinical advice.
10.2 Audits and Investigations
You agree to notify VeriMedix LLC promptly of any audits or inquiries and cooperate with reasonable requests for information.
10.3 Regulatory Changes
We make reasonable efforts to stay informed of regulatory changes but cannot guarantee billing is free from errors or disputes.
11. Intellectual Property
All website content, including text, graphics, logos, software, and proprietary tools, is the property of VeriMedix LLC or its licensors. You may not copy, distribute, or create derivative works without prior written consent.
12. Confidentiality
Both parties agree to maintain confidentiality of all disclosed proprietary information. This obligation survives termination of the Service Agreement.
13. Disclaimers
Services and website are provided “as is” and “as available.” VeriMedix LLC does not guarantee:
Specific collection rates, payment timelines, or revenue outcomes
That all claims will be paid at expected amounts
That billing will be free from payer denials, audits, or disputes
14. Limitation of Liability
Total liability for any claim related to these Terms or Services shall not exceed fees paid in the 12 months preceding the claim
Not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or revenue
Certain jurisdictions may not allow limitation of damages
15. Indemnification
You agree to indemnify and hold harmless VeriMedix LLC and its staff from claims arising from:
Violation of Terms or applicable laws
Providing inaccurate or misleading information
Clinical malpractice/professional negligence claims (VeriMedix provides billing only)
Billing/coding disputes from medical necessity issues
16. Governing Law and Dispute Resolution
Governed by the laws of North Carolina, U.S., without conflict-of-law consideration
Disputes resolved in state/federal courts in North Carolina or binding arbitration if specified in Service Agreement
17. Changes to These Terms
VeriMedix LLC may update these Terms at any time. The “Last updated” date reflects the latest revision. Material changes will be communicated via email or Client portal. Continued use constitutes acceptance.
18. Entire Agreement
These Terms, together with your Service Agreement, BAA, Privacy Policy, and other written agreements, constitute the full agreement regarding VeriMedix.com and engagement of Services.
19. Severability
If any provision is invalid or unenforceable, it shall be limited/eliminated to the minimum extent, and remaining provisions remain in full force.
